Orders, Pricing and Quotes
All prices are based on current market conditions for the wholesale trade only and are subject to change without notice. All orders are quoted F.O.B. RPM Ecosystems LLC. Shipping costs are the responsibility of the customer. Approved accounts in good standing are net 30. Written quotations will be honored for 30 days on available material. Quoted material will not be allocated to a specific customer until the signed quote has been returned and a deposit has been made. Please specify when requesting a quote if substitutions are acceptable.
When signed quote has been returned and order is confirmed, it indicates your plant material has been tagged and assembled to ship/pickup. We will do everything in our power to assure you receive everything on your order. However inclement weather, inventory changes, crop failures or any other conditions beyond RPM Ecosystems" LLC control may cause delays or changes to your order.
Qualifying to be a wholesale purchaser
To verify that you qualify to purchase stock at the wholesale level you must provide any or all of the following: sales tax exemption certificate, company check, business card, nursery dealers license.- As a purchaser of RPM plants you are eligible for wholesale pricing and tax-exemption if you are:
- buying the trees for resale (licensed reseller)
- a farm or other tax-exempt agricultural business
- buying trees for use by your customers (consultants or engineering firms)
- non-profit organization
- federal, state, or local agencies or municipalities
- other resellers or tax-exempt organizations
Cancellations
Any cancellations or order adjustments must be made in writing 30 days prior to scheduled date of shipping/pickup to be binding. All cancellations are subject to a 25% restocking fee.Shipping
RPM Ecosystems LLC will schedule and coordinate shipment of your order for you. Delivery rates are based on $1.50 per mile round trip to your location from RPM Ecosystems LLC with a $300 minimum shipping charge. All orders are F.O.B RPM Ecosystems LLC.RPM Ecosystems' LLC responsibility for the risk of loss or damage to the property, which is the subject of this contract, terminates when the property is transferred to a common carrier at seller's place of business. At that point, the risk of loss transfers to the buyer. The buyer must pay for all transportation and insurance costs at this point.
Pickup
Pickup orders must be scheduled in advance with Customer Service. A $25 per week fee will be charged on all orders not picked up by the scheduled date. To schedule a pickup please contact Customer Service at 888.776.9590.Terms
With an established credit line with RPM Ecosystems LLC, PAYMENT IS NET 30 DAYS FROM THE SHIPMENT OR PICKUP DATE. New orders will not be accepted on delinquent accounts unless special arrangements have been made. Any new orders with accounts past 90 days must be paid in full prior to shipping.Charges for overdue accounts will be 2% per month (24% annually), unless other arrangements were made and written in the order acknowledgement at the time of order. All accounts are considered past due if not paid within 30 days of invoice. There will be a $30.00 fee for all checks returned for non-sufficient funds. Visa and Master Card are accepted. No refunds, overpayments will be credited to your account.

Guarantees
RPM Ecosystems LLC guarantees the plant material to be alive and healthy at time of shipment and to be true to name. Upon receipt of your shipment you should examine and count all materials.NO CLAIMS WILL BE HONORED UNLESS IT IS REPORTED IN WRITING, USING A CLAIM REQUEST FORM, WITHIN 10 DAYS AFTER RECEIPT OF ORDER. FAILURE TO PRESENT SUCH CLAIM WITHIN 10 DAYS, CONSTITUTES A WAIVER OF SUCH CLAIM.
The Claim Request Form can also be emailed or faxed to customers upon request. Discrepancies must be reported on the packing slip at the time of delivery or pickup. Claims must include the signature and the name of the responsible party written clearly on the packing slip. RPM Ecosystems LLC makes no warranty, expressed or implied, including any warranty of fitness for any particular purpose with respect to plant stock and all other warranties are hereby expressly excluded.
